Welcome to Digitalabs! These Terms of Use ("Agreement") govern your use of the Digitalabs platform, including all related services, tools, and features. By accessing or using Digitalabs, you agree to comply with and be bound by these terms.

"User," "you," and "your" refer to any individual or entity accessing or using Digitalabs.

"Services" refers to all services, tools, and features provided by Digitalabs.

"Virtualized Cluster Shares (VCS)" refers to the digital assets offered by Digitalabs.

3. Eligibility

To use Digitalabs, you must be at least 18 years old and capable of entering into a legally binding agreement. By using Digitalabs, you represent and warrant that you meet these eligibility requirements.

4. Ownership and Intellectual Property

All technology and content provided by Digitalabs, including software, text, images, video, and audio, are owned by Digitalabs or our licensors and are protected by intellectual property laws.

Digitalabs ensures secure handling of user data, which is treated as confidential and used solely to fulfill user requests.

5. Rights Granted

Digitalabs grants the User a non-exclusive, non-transferable right to access and use the Services for internal business purposes.

6. User Responsibilities

Users are responsible for all activities under their accounts and must comply with all applicable laws and regulations. Users must not misuse the Services, including copying, modifying, renting, leasing, sublicensing, transferring, or commercially exploiting any element of the Service without Digitalabs' consent.

7. Privacy

Digitalabs values user privacy and adheres to a strict privacy policy, ensuring no personally identifiable information is collected unless voluntarily provided by the user.

8. Virtualized Cluster Shares (VCS)

Digitalabs offers Virtualized Cluster Shares (VCS) as a means to invest in and benefit from Digitalabs' high-performance computing resources. By purchasing VCS, you agree to the specific terms and conditions related to these digital assets, including their use, transfer, and associated fees.

9. Fees and Payments

You agree to pay all fees and charges associated with your use of Digitalabs as described in the platform. All payments are non-refundable, except as required by law or as otherwise stated in this Agreement.

10. Disclaimer of Warranties

Digitalabs is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Digitalabs will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Digitalabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from

• (i) your use or inability to use Digitalabs;

• (ii) any unauthorized access to or use of our servers and/or any personal information stored therein;

• (iii) any interruption or cessation of transmission to or from Digitalabs;

• (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through Digitalabs by any third party;

• or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through Digitalabs.

12. Modifications to the Agreement

Digitalabs reserves the right to modify this Agreement at any time. We will provide notice of such changes by posting the revised Agreement on Digitalabs and updating the "Last Updated" date. Your continued use of Digitalabs after any such changes constitutes your acceptance of the revised Agreement.

13. Termination

We may terminate or suspend your access to Digitalabs, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your right to use Digitalabs will immediately cease.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Digitalabs is incorporated, without regard to its conflict of law provisions.

16. Entire Agreement
